Contracts Attorney

The Contracts Attorney will oversee the company’s contract review and management processes, including, but not limited to, customer contracts, vendor and subcontractor contracts, non-disclosure agreements, purchase agreements and any other legal forms, documents or agreements that may arise in the company’s business dealings.  In addition to the foregoing, the Contracts Attorney will assist the company as directed by the executive or managing stake holders in the pursuit and response to various claims including but not limited to, breach of contract, bankruptcy, claims arising in tort, strict liability, filing of mechanics liens and other causes of action.

What You Will Be Doing:

  • Review, draft, and negotiate contracts; provided contracting subject matter expertise to the business to help achieve business objectives and mitigate risk.
  • Coordinate with internal and external subject matter experts, including external legal counsel, when needed.
  • Assist with the management of external legal counsel.
  • Coordinate with AVI’s branch offices, sales team and management team to provide guidance on contractual requirements and ensure contract requirements are fulfilled and the Signing Authorization and Delegation of Authority Policy is being followed.
  • Act as a resource and advisor to company’s management and executive teams.
  • Identify legal and business risks in agreements.
  • Apply legal knowledge to help prevent and resolve business problems.
  • Provide support relating to contractual language in the development and delivery of new products and services.
  • Serve as back up to the current AVI Contract Counsel dealing with certain informational requests, general contract requests and ad hoc legal informational requests and/or contract assistance from corporate or branch personnel.
  • Advise branch offices on necessary steps to preserve all rights to collect past due owing amounts including appropriate notice provisions for mechanic’s liens, creditor’s claims in bankruptcy and applicable statutes of repose.

Requirements to Assure Success:

  • Bachelor of Science Degree (or equivalent) and a Juris Doctor Degree
  • Minimum of three years of experience practicing law either with a law firm or corporation.
  • A high level understanding of contract law and the ability to negotiate, draft, review and manage contracts.
  • Experience prosecuting and defending against various claims including but not limited to breach of contract, creditor bankruptcy claims, tortious liability and overall contractual dispute resolution.
  • A high level of computer skills is required in the areas of, legal research tools, word processing, adobe and email.
  • Ability to work independently and make administrative decisions.
  • Must possess strong organizational skills as well as written and verbal communication skills.
